Vendor Payment Policy

This Vendor Payment Policy forms an integral part of the Vendor Onboarding Agreement & Financial Agreement between AFM E-Shop FZ LLC (FunkySouq) and its registered vendors/sellers. By using FunkySouq's platform, you agree to abide by the following payment terms and conditions.

Commission & Fees

  • FunkySouq charges a fixed 25% commission on the final selling price of every successfully delivered order.
  • The remaining 75% is treated as Vendor Earnings.
  • Commission is non-refundable and non-negotiable, regardless of discounts or promotions applied by the vendor.
  • Platform subscription fees, fulfillment/storage fees, and marketing charges (if applicable) will be deducted separately.

Payment Routing & Compliance

  • All payments to vendors will be made strictly to the company's registered bank account only.
  • Payments to personal accounts, proxy accounts, or subsidiaries are not permitted under UAE AML regulations.
  • Vendors must provide valid bank account proof and trade license during onboarding.
  • Any violation will result in account suspension, blacklisting, and reporting to UAE authorities.

Payment Cycle

  • Vendor payouts will be released only after the mandatory clearance period:
    • 10 working days after confirmed delivery, and
    • 3 additional working days post return-window closure (7 working days).
  • Example: If an order is delivered on 1st, payout will be released after Day 10, subject to no active returns.
  • All payouts are processed via Network International, FunkySouq's exclusive payment gateway partner.

Returns & Refunds Adjustments

  • If an item is returned within the 7-day return window, no payout will be processed for that item.
  • If a return occurs after payout release, the refund amount will be deducted from the vendor's next cycle payout.
  • Vendors are responsible for ensuring product authenticity, quality, and packaging.

Payment Frequency

  • Payouts will be processed on a bi-weekly basis (twice a month).
  • A minimum payout threshold of AED 200 applies. Any earnings below this threshold will carry forward to the next cycle.

Disputes & Hold Payments

Payments may be withheld temporarily if:

  • Vendor documents are incomplete/expired (Trade License, VAT, Bank Proof, etc.).
  • Vendor account is under AML/KYC verification.
  • Order is under investigation for fraud, counterfeit products, or policy violations.

FunkySouq reserves the right to freeze or delay vendor payouts until compliance checks are cleared.

Deductions & Adjustments

The following may be deducted before payout release:

  • Commission & Platform fees
  • Fulfillment & storage charges (if using FunkySouq warehouse)
  • Marketing/advertising fees (featured listings, sponsored ads, etc.)
  • Refund adjustments due to returns/cancellations

Tax & VAT Obligations

  • Vendors are responsible for ensuring VAT compliance and providing valid VAT registration certificates.
  • FunkySouq may deduct and remit VAT on behalf of the vendor, as per UAE Federal Tax Authority (FTA) regulations.
  • Vendors are solely liable for any non-compliance penalties.

Dispute Resolution

  • Any payout discrepancies must be reported to FunkySouq within 7 working days of payment release.
  • Disputes will first undergo internal reconciliation; if unresolved, UAE Commercial Court jurisdiction applies.

Final Clauses

  • This policy is final and non-negotiable.
  • FunkySouq reserves the right to update terms with 45 days' written notice to vendors.
  • Continued use of the platform after amendments constitutes acceptance of new terms.
